Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern access to and use of the File Service Portal (“Portal”) operated by Alpha International Software Development LLC, a company registered under the laws of Georgia, with its principal place of business at A. Mitskevich str. #29, 0194 Tbilisi (“we”, “our”, “us”).

By registering an account, paying the installation fee, purchasing credits, or otherwise accessing the Portal, you (“Customer”, “you”, “your”) agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree, you must not use the Portal.

2. Scope of Service

The Portal provides digital tuning files and related services for professional automotive applications (“Services”). Access to the Portal is granted following payment of a one-time installation fee. The Customer may then purchase individual tuning files (“Files”) using a credit-based payment system.

3. Account Registration and Activation

To access the Portal, you must register an account and pay a non-refundable installation fee of €500 (five hundred euros).
We reserve the right to verify account information and to refuse activation or suspend access if false, misleading, or incomplete information is provided.

4. Credit System and Pricing

4.1. Services are billed using a credit-based system. Credits must be purchased in advance and are non-refundable.
4.2. The price in credits for each File or service is displayed within the Portal prior to purchase.
4.3. Credits and pricing are subject to change without prior notice; however, such changes will not affect orders already placed.
4.4. Credits have no monetary value outside the Portal and may not be transferred, exchanged, or redeemed for cash.

5. Delivery and Use of Files

5.1. Files are delivered electronically through the Portal once the corresponding credits have been deducted from your account.
5.2. Files are provided solely for lawful, professional use in accordance with applicable laws and regulations.
5.3. You are solely responsible for ensuring that the installation or application of any tuning file complies with local laws, vehicle regulations, and emissions standards.
5.4. Redistribution, resale, copying, or unauthorized sharing of any File or software is strictly prohibited and may result in legal action and account termination.

6. Intellectual Property Rights

All intellectual property rights in and to the Portal, Files, software, databases, and related materials remain the exclusive property of Alpha LLC or its licensors.
No license or ownership right is granted other than a limited, non-transferable, non-exclusive right to use the Files for your own professional purposes in accordance with these Terms.

7. Limitation of Liability

7.1. To the fullest extent permitted by law, Alpha LLC shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use, misuse, or inability to use the Portal or any File, including but not limited to:

  • Vehicle damage, performance issues, or malfunction,
  • Legal or regulatory penalties resulting from vehicle modifications,
  • Data loss or service interruption.

7.2. In any case, our total liability shall be limited to the total amount paid by the Customer during the twelve (12) months preceding the event giving rise to the claim.

8. Warranties and Disclaimers

8.1. All Files and Services are provided “as is” and without warranty of any kind, whether express or implied.
8.2. We do not warrant that Files will be error-free, compatible with all vehicles or systems, or suitable for a particular purpose.
8.3. The Customer assumes full responsibility for the professional use and outcome of any tuning file applied.

9. Termination and Suspension

9.1. We reserve the right to suspend or terminate your account immediately, without refund, if you breach these Terms or engage in any unauthorized, unlawful, or unethical activity.
9.2. Upon termination, your access to the Portal and remaining Credits will be revoked.
9.3. You may terminate your account at any time by written notice; however, no refunds will be issued for previously purchased Credits or the installation fee.

10. Refund Policy

  • The €500 installation fee is strictly non-refundable.
  • Credits and Files, once purchased, are non-refundable.
  • Refunds or adjustments may only be granted at our sole discretion in cases of verified technical errors or double billing.

11. Confidentiality

All Files, communications, and technical data exchanged between the parties shall be treated as confidential. You agree not to disclose or share such materials with any third party without our prior written consent.

12. Changes to the Terms

We may revise these Terms from time to time. The updated version will be published on our website, and continued use of the Portal constitutes acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Georgia, excluding its conflict of law provisions.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Tbilisi, Georgia.
